FREO2 Foundation (FREO2) is a global non-profit committed to reducing child mortality from respiratory failure in low-resource settings. Respiratory failure claims the lives of over 1.6 million children under the age of five every year. This includes fatalities from pneumonia, birth asphyxia and preterm births. Despite the preventable nature of these deaths, children residing in low-resource settings face significant barriers to accessing life-saving treatment.
At FREO2, we offer Oxygen as a Service (O2aaS) — a reliable, affordable, and accessible solution. O2aaS comprises innovative products ensuring an uninterrupted oxygen supply, clinical training for timely diagnosis and treatment, and technical training for sustainable maintenance and support. Partnering with remote healthcare facilities in under-resourced communities, we ensure that oxygen reaches areas where its impact is most valued; contributing to a world where every child can breathe, live, and thrive.
About the role
We are seeking an experienced and dynamic non-executive Board Secretary for FREO2 Foundation. This pivotal role supports governance, board operations, and compliance functions across the organisation. The Board Secretary will ensure effective and efficient board management, contributing to the growth and success of a global non-profit with a life-saving mission. As a key liaison between the board, committees, and management teams, the Board Secretary will ensure all governance practices are followed with the highest standards of integrity.
Key Responsibilities
As the Board Secretary, you will be responsible for:
- Governance Support: Advise the board and its committees on governance matters, ensuring compliance with all regulations and policies.
- Board Operations: Coordinate the timely preparation and distribution of board and committee papers, agendas, and reports.
- Meeting Management: Organise and attend board and committee meetings, prepare minutes, and track follow-up actions.
- Records Management: Ensure that necessary statutory registers are established, maintained, and annual returns and reports are lodged with relevant regulators.
- Director Support: Facilitate director induction and professional development programs, fostering ongoing learning and engagement.
- Policy Compliance: Ensure all board and committee procedures are in alignment with legal and organisational policies.
Time Commitment (per month)
- 4–6 hours of scheduled meetings (Board and committee meetings).
- 6–7 hours for documentation, record management, and reporting.
What You Bring
- Qualifications (or equivalent experience) in governance, business, law, or a relevant discipline.
- Experience in similar roles such as company secretary, board member, audit, compliance, or governance.
- Strong understanding of the regulatory framework and governance standards in the not-for-profit sector.
- Excellent communication and organisational skills.
- Passion for the not-for-profit sector and commitment to fulfilling the responsibilities of the role.
